1. FOUNDATIONAL CHARACTERIZATION: THE "VETTING TOOL" PARADIGM

The Framework software is classified strictly as an informational "vetting tool" designed for preliminary screening and estimation.

  • Not a Binding Quote: Outputs provided by the service are "industry-standard guidelines" and do not constitute a definitive bidding engine or a binding contract.
  • Independent Verification Mandate: The User (the contractor) is the "final arbiter" of accuracy and is legally obligated to independently verify all outputs against "boots-on-the-ground" insights, such as local zoning, specific job-site conditions, and current supplier inventory.
  • Human-in-the-Loop: The software is an assistant to the licensed professional, not a substitute for their judgment.

2. NO PROFESSIONAL SERVICES (RSA 338-A COMPLIANCE)

To maintain compliance with New Hampshire statutes (RSA 338-A:1 and RSA 338-A:2), GET FRAMEWORK LLC explicitly disclaims "Professional Service" status.

  • No Certifications: We do not provide architectural stamps, structural certifications, or legal reviews of construction documents.
  • Functional Exclusions: This software does not perform material takeoffs, quantity counts, or structural load-bearing calculations.
  • Shift of Duty: By using the tool, the contractor acknowledges that they maintain the "Professional Standard of Care" and must review and approve all outputs.

3. LICENSE ARCHITECTURE & USER RESTRICTIONS

GET FRAMEWORK LLC grants the user a limited, non-exclusive, non-transferable, and revocable right to access the cloud service.

  • Single-Seat Limitation: Access is restricted to a specific individual authorized user. Sharing login credentials among multiple employees or "white-labeling" the software for third parties is strictly prohibited.
  • Field of Use: The license is restricted to internal business purposes related to residential construction estimation.
  • Account Security: The User is solely responsible for all activity under their credentials and must implement procedures for anti-virus protection and data reconstruction.

4. DATA INTEGRITY & PROPRIETARY ALGORITHMS

Framework utilizes high-velocity data feeds from third-party providers, including the Craftsman Catalog, which are processed through proprietary algorithms.

  • "As-Is" Status: Third-party data is provided "As-Is" and "As-Available".
  • Market Volatility: Users acknowledge that construction costs are dynamic; software-generated prices are suggestions and may become obsolete due to rapid material inflation.
  • Derived Data Ownership: While users own their "Customer Data" (names, project locations), GET FRAMEWORK LLC retains ownership of the platform software, the proprietary interface, and the anonymized aggregated data sets generated by the platform.

5. BILLING, TRIALS, AND CANCELLATION

The service operates on a month-to-month subscription model.

  • One-Week Free Trial: New users receive a 7-day trial period. A valid credit card is required upfront, and starting the trial constitutes affirmative consent to be enrolled in a recurring subscription if not canceled before the 168th hour.
  • Strict Final Sale: All processed payments are non-refundable. No pro-rated refunds are issued for partial months or unused time.
  • Online Cancellation: In compliance with the California Automatic Renewal Law (CARL), users may cancel exclusively via the "Subscription" section under "User Preferences" in the dashboard.

6. RISK ALLOCATION & LIMITATION OF LIABILITY

THE FOLLOWING PROVISIONS ARE CLEAR, SPECIFIC, AND CONSPICUOUS IN ACCORDANCE WITH NEW HAMPSHIRE EXCULPATORY STANDARDS:

  • CAP ON DAMAGES: GET FRAMEWORK LLC'S TOTAL FINANCIAL EXPOSURE IS CAPPED AT THE TOTAL AMOUNT PAID BY THE CUSTOMER IN THE PRECEDING 12 MONTHS.
  • WAIVER OF CONSEQUENTIAL LOSSES: WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR SPECIAL DAMAGES, INCLUDING LOST PROFITS, REVENUE, DATA, OR DAMAGES RESULTING FROM MISSED BID DEADLINES.
  • FORCE MAJEURE: WE ARE NOT LIABLE FOR DOWNTIME CAUSED BY CYBER-ATTACKS, INTERNET BACKBONE FAILURES, OR NATURAL DISASTERS (E.G., HURRICANES DISRUPTING DATA CENTERS).

7. DISPUTE RESOLUTION: MANDATORY ARBITRATION

Any dispute arising from this agreement shall be settled through Individual Binding Arbitration in Merrimack County, New Hampshire.

  • CLASS ACTION WAIVER: USERS EXPLICITLY WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS OR MASS ARBITRATIONS.
  • JURY TRIAL WAIVER: THE PARTIES IRREVOCABLY WAIVE THEIR SEVENTH AMENDMENT RIGHT TO A TRIAL BY JURY.
  • GOVERNING LAW: THIS AGREEMENT IS GOVERNED BY THE LAWS OF THE STATE OF NEW HAMPSHIRE.

7. ADVANCED BOILERPLATE

  • SEVERABILITY: If any provision is found unenforceable, the remainder of the contract remains in full effect.
  • ENTIRE AGREEMENT: This document supersedes all prior emails, sales presentations, or verbal promises.
